[Board1] Proposed Bylaws Amendments - For Membership Vote at Convention Monday, May 19, 2025

WLTA Members: (NOTE: This email is being sent to the Board1 email addressees
- officers and Board members, and other interested parties who get wish to
attend Board meetings - and to WLTA Member who have registered to attend the
convention from Washington State. Thus you may get more than one copy of
this email.)

 

The Washington Land Title Association Board has approved a motion to accept
a draft revision to the WLTA Bylaws, and to refer the question of final
approval to the WLTA membership.

 

The principal purpose of the amended bylaws is to allow a Board member to
give a proxy to an employee of the company that also employs the Board
member. The current bylaws only permit the grant of a proxy by a Board
member to another Board member. That can be awkward if the interests of the
intended proxy (or that proxy's employer) do not align with the interests of
the Board member (or that Board member's employer) giving the proxy.

 

There are other amendments that clarify who can serve on and chair
committees of the Association.

 

A red-lined copy of the draft bylaws with the proposed amendments is
attached for your perusal. You can see the additions, deletions and
revisions in this copy.

 

The proposed bylaws revisions will be voted on at the upcoming annual
meeting of members on May 19, 2025, at the Coeur d'Alene Resort in Coeur
d'Alene, Idaho. 

 

NOTE that all employees of WLTA members who attend the Annual Meeting are
eligible to vote; this includes Board members in attendance who have already
voted to approve the changes and to send it to the membership in attendance
at the convention for a vote.
