For those Board members who are not able to attend and want to appoint a
proxy, attached is a list of those who have committed to attend as of today.
You can see who might be a good proxy fit for you. But, as you can see,
attendance has also been sparsely confirmed for non-board members as well.

Obviously, even with the bylaws changes, it may not help for those who don't
have another employee from your company attending. NOTE THAT THIS  LIST
includes those who've expressed an interest in attending Board meetings but
who are not Board members. Even though it's a pretty long list, you may not
see another employee from your company.

If you are uncomfortable with someone appointing someone who is on the list,
perhaps you can persuade someone else (not on this list) from your company
to attend this time around. You are free to send them the meeting link and
they can just join in. But, send the proxy and let us know that that person
plans to sit in on the meeting - and make sure they put it on their
calendar!

Also, this is a way we might get more people interested in what the WLTA is
about, how it works and how it helps the industry. They might then be
willing to be more involved with the WLTA as time marches on.

To WLTA Board members:

Further to Ashley's email, requesting that those Board members who are
unable to attend the meeting next week provide a proxy to ensure that there
will be a quorum with room to spare, attached is a proxy form.

NOTE: You may recall that the Bylaws have been amended to facilitate a more
palatable proxy process than the old bylaws. That is, it is no longer
required that you provide a proxy to another Board member (although that is
still OK) that may not be with your employer. Now you can name a person who
works for the same company, as long as that person is in attendance.

Here is the language:

Any Director entitled to vote may, by an instrument in writing (including
email) bearing a date not more than thirty (30) days in advance of the
meeting at which a vote is scheduled or may be taken, designate either (1)
another Director, who is otherwise entitled to vote, in the place and stead
of the Director granting the proxy and who need not be an officer, partner
or other employee of the member represented by the individual granting the
proxy, or (2) another partner, officer or other employee of that Underwriter
member or Agent member, who need not be another Board member. Unless limited
in scope, a proxy shall entitle the designated proxy to exercise all powers
of the Director granting the proxy that could be exercised if such Director
were present at the meeting or scheduled vote.

Note that you can change the provisions of the attached proxy to limit it to
certain powers.
