<p class="MsoNormal"><span style="font-family:"Times New Roman",serif;mso-ligatures:none">NOTE: You may recall that the Bylaws have been amended to facilitate a more palatable proxy process than the old bylaws. That is, it is no longer required that you provide
a proxy to another Board member (although that is still OK) that may not be with your employer. Now you can name a person who works for the same company, as long as that person is in attendance.<o:p></o:p></span></p>

by the individual granting the proxy, or (2) another partner, officer or other employee of that Underwriter member or Agent member, who need not be another Board member. Unless limited in scope, a proxy shall entitle the designated proxy to exercise all powers
of the Director granting the proxy that could be exercised if such Director were present at the meeting or scheduled vote.<o:p></o:p></span></p>
