[Board1] Bylaws - Proposed Revisions

At the Board meeting on February 24, 2025, a draft of proposed revisions to
the Bylaws (as attached) was presented and discussed.

 

The primary focus of the draft relates to voting and proxies, intended to
clarify who can be designated as a proxy for a Board member and proxy for a
member of the Association.

 

The Board decided to present the draft again via email for review and
comment, including suggestion for revisions to the draft. This email is
being sent to those who normally attend Boart meetings and to
representatives of each voting member of the Association (thus you may get
more than one copy of this email). Feel free to forward to others in your
company if they are not on either distribution list.

 

Please review and offer any suggestions before March 14, 2025. 

 

If there are no additional suggestions, the draft will be presented at the
Board Meeting scheduled for May 20, 2025, at the Board and Annual Meetings
of the Association to be held at the annual convention in Coeur d'Alene,
Idaho. A vote by the membership present at that meeting will be taken to
approve the proposed changes.
